<p><strong>Role Overview</strong><br />
Electronic Arts Inc is seeking an experienced Senior Stock Administrator to work with an exciting equity team to administer our worldwide company stock plans and to liaise with our employees, transfer agent and internal groups, such as Human Resources, Accounting, Global Audit and Tax.<br />
Responsible for the administration of Equity Incentive Plans for U.S. and International participants in over 30 countries worldwide which includes:<br />
- Process monthly stock option and RSU grants<br />
- Process stock option exercises<br />
- Process semi-annual stock purchases<br />
- Section 16 SEC Compliance/Reporting (process forms 3, 4 and 5)<br />
- Provide reports regularly and as requested to internal and external auditors, tax, payroll, finance/accounting, HR and other business partners<br />
- Prepare annual reports for UK filings and other regular international finance reporting requirements.<br />
- Maintain integrity of data in Equity Edge Database<br />
- Employee Communication and Education including presentations, addressing employee inquiries, creating training/educational materials and maintaining the internal Stock Administration Portal<br />
- Work closely with brokers and vendors to ensure quality stock plan services.<br />
- Manage data internally, including inbound and outbound feeds to vendor systems and internal employee self-service tools (i.e. online grant acceptance and ESPP enrollment tools).<br />
- Cross Train with other team members in all aspects of daily stock administration including Monthly RSU Releases, Global Mobility Tracking, YTD tax imports, ESPP disposition updates, financial reporting.</p>
<p>Whats does EA look for?</p>
<p>- 4+ years comprehensive experience in equity incentive plan administration with U.S. and international participants.<br />
- BA / BS in Accounting, Finance or Business preferred<br />
- CEP Certification preferred or in the process of completion.<br />
- Demonstrated proficiency in day-to-day administration of Equity Incentive Stock plans and Employee Stock Purchase plans. Includes processing option exercises, grant preparation, interface with captive brokers, payroll and finance.<br />
- Demonstrated customer service and organizational skills and the ability to multi task.<br />
- Demonstrated research, troubleshooting, analytical and problem solving skills<br />
- Capacity to be a flexible &amp; collaborative team member, while staying focused to deliver results.<br />
- Capacity to learn new skills and knowledge on an independent level to enhance personal development<br />
- Ability to communicate with employees of all levels (including executive management and Board of Directors) and explain stock option, RSU and ESPP information.<br />
- Advanced knowledge of and experience working with Equity Edge.<br />
- Advanced Microsoft Excel, Access, PowerPoint and Mail Merge skills.</p>

<p><strong>Requirements</strong></p>

<li>CEP Level I preferred</li>
<li>Familiarity with Rule 701 and 144</li>
<li>Proficient in equity administration applications, particularly Equity Edge and EquiView</li>
<li>Proficient with Microsoft Office applications - especially Excel and Word</li>
<li>Familiarity with SEC regulations, taxation, payroll, and accounting rules as they relate to stock programs in the U.S.</li>

financial reporting requirements for equity and related accounts, and advanced knowledge of the<br />
accounting regulations in order to properly manage and perform the basic and advanced responsibilities<br />

<p>The person must have experience in each of these functions within Stock Plan Administration and<br />
Management.</p>

<p>The Equity Plans Manager position must have knowledge and experience in the following:</p>

<p>PwC will share the results of their 2011 Global Equity Survey which is one of the most comprehensive studies available on the design and administration of equity incentive compensation. The presentation will discuss changes to grant practices, prevalence of types of equity offered, strategic initiatives in plan design, compensation analytics, CEO Compensation and Shareholder approvals, tax compliance and planning and finally, highlight international considerations.</p>

</strong>Julie Rumberger is a Managing Director of the HR Services consulting practice of PricewaterhouseCoopers LLP (PwC), advising public and private companies on executive compensation matters whether dealing with domestic or global issues. She specializes on U.S. tax issues as they relate to executive compensation and also has significant experience with implementation of equity plans in foreign jurisdictions.</div>

<p>Julie graduated from law school in 1990 from the University of Montreal. She also received a L.LM. (international business law) in 1992 from Kings College, London and a L.LM. (tax law) in 1998 from Villanova University.</p>

The paralegal directly supports the company&#8217;s finance department and attends to corporate governance matters as well as manages equity administration nationally and globally.</p>
<p>Corporate governance responsibilities include:<br />
communicating with the Board of Directors, investors, financial advisors and equity employees; preparing Board communications and minutes books; and managing ad hoc, time-sensitive projects.</p>
<p>Equity administration responsibilities include:<br />
drafting analytical memoranda concerning domestic and international equity plans, Rules 409A and 701 relating to stock options, and securities compliance; preserving integrity and confidentiality of the equity data; and interacting with senior executives, outside counsel, human resources and employees on matters relating to equity.</p>
<p>The qualifications for the corporate paralegal position are the following:<br />
Minimum 6 years experience as a corporate paralegal or equity manager;<br />
In-depth knowledge of private company equity administration at both the domestic and international level;<br />
Bachelor&#8217;s degree;<br />
Tenure at law firms and/or companies with solid workflow and challenging assignments;<br />
Acute attention to detail, ability to work independently (minimum oversight) and comfortable collaborating with a team;<br />
Available to work nights and weekends on urgent projects; and<br />
Excellent writing and verbal communication skills.</p>
